TERMS AND CONDITIONS
1. Introduction
Welcome to Ofero.me, operated by OFERO NETWORK S.A. (hereinafter referred to as "Ofero," "we," "our," or "us"). These Terms and Conditions govern your use of Ofero and its affiliated sites (the "Sites"). By accessing and using our Sites, you agree to comply with and be bound by these Terms and Conditions. If you do not agree with any part of these terms, please do not use our Sites.
2. Operator Information
This website is operated by OFERO NETWORK S.A., a company registered in Belize under the registration number 176718 on 10th of March 2022.
3. Age Requirements
- You must be at least 13 years old to create an account or use our Sites.
- Users between 13 and 17 years old must have parental or guardian consent to use our Sites.
- By creating an account, you confirm that you meet these age requirements.
- We reserve the right to terminate accounts if we discover a user does not meet the minimum age requirement.
4. International Trade Law
This website operates under the regulations of International Trade Law.
5. User Conduct
By using our Sites, you agree to:
- Provide accurate and current information when creating an account.
- Maintain the security of your account credentials.
- Comply with all applicable laws and regulations.
- You are responsible for all activities that occur under your account.
6. Business Partners and Loyalty Program
Our platform includes features that allow you to interact with affiliated business partners (e.g., through the Ofero Check-in application). By participating in partner loyalty programs, scanning partner QR codes, or performing check-ins, you acknowledge and agree that relevant transaction and profile data will be shared with the respective business partner to facilitate the reward process.
7. Wallet, Transaction Password and Recovery
Your account includes a self-custodial blockchain wallet. The wallet is created on your own device and is protected by a transaction password that you choose. This password is separate from your account login password.
Your transaction password is never transmitted to us and is never stored on our servers. We cannot see it, recover it, reset it, or restore access to your wallet on your behalf. It is used only on your device to encrypt and decrypt your wallet.
You acknowledge and agree that:
- You are solely responsible for choosing, remembering, and safeguarding your transaction password.
- If you lose or forget your transaction password, access to your wallet and to any balances, tokens, or rewards held in it may be permanently lost.
- Recovery is possible only if you have separately saved your wallet's recovery phrase (seed phrase). Anyone who obtains that phrase can access your wallet, so it must be kept private.
- To the fullest extent permitted by applicable law, Ofero is not liable for any loss or damage arising from a lost, forgotten, shared, or compromised transaction password or recovery phrase, or from any resulting inability to access your wallet, balances, tokens, or rewards.
- Blockchain transactions are irreversible. We cannot cancel, reverse, or refund a confirmed transaction.
Nothing in this section limits any rights you have under mandatory consumer protection law that cannot be waived by agreement.
8. Blockchain Risk Disclosure
Blockchain technology is experimental and fragile. Using it involves a real risk of total and permanent loss of funds. Ofero accepts no liability to any person for such loss.
Digital assets are highly volatile and their value can fall to zero. This has happened repeatedly across the industry: the UST stablecoin lost its peg and collapsed to near zero in 2022, wiping out holders; the Solana network has suffered multiple prolonged outages during which users could not move their funds; and even Bitcoin, the oldest and largest asset in the sector, has repeatedly lost more than 70% of its value. Beyond price, funds can be lost through protocol bugs, smart contract exploits, chain reorganisations, validator failures, exchange or bridge failures, regulatory action, and irreversible user error.
Accordingly, you acknowledge and agree that:
- You should never hold on this platform, or in any connected wallet, a larger amount than you can afford to lose entirely.
- You use blockchain features at your own risk and on your own judgement.
- Ofero gives no financial, investment, tax, or legal advice, and makes no promise about the future value of any token.
- To the fullest extent permitted by applicable law, Ofero is not liable to you or to anyone else for any loss of funds, tokens, rewards, or value arising from the use, failure, malfunction, exploitation, or disappearance of any blockchain, token, network, or wallet.
Cold storage for long-term holding
If you intend to hold funds long term rather than use them on the platform, we strongly recommend moving them to one or more cold wallets generated at wallet.ofero.network. That page generates the wallet entirely in your own browser: once the page has loaded, you may disconnect your device from the internet and it will still work, because the keys are created locally and are never sent to us or to anyone else. A wallet generated this way can hold funds without any third party ever having access to them.
Wallets created inside Ofero.me use the same generation protocol. The resulting recovery phrase is stored in our database only in encrypted form, using the transaction password you chose (see section 7). Because that password is never transmitted to us, a compromise of our database alone does not allow an attacker to use your recovery phrase, and Ofero's own developers cannot access it either.
Back up your recovery phrase now
As a first security step after creating your account, go to ofero.me/account/wallets, use View Seed Phrase & Download JSON, and record your recovery phrase somewhere safe and inaccessible to others. If Ofero.me were to disappear overnight, or if your account were removed accidentally or for the reasons set out in section 16, your funds would remain safe on the blockchain and could still be accessed through other applications such as xPortal or Trust Wallet.
We do not recommend entering your recovery phrase into third-party applications, including xPortal, Trust Wallet, or any other, without a concrete reason to do so. Exposing a recovery phrase to any additional application is an additional security risk, however solid that application appears today. Funds can be moved between wallets in different applications easily, and network fees are currently very low and affordable for everyone.
9. Intellectual Property
All content on our Sites, including but not limited to text, graphics, logos, images, and software, is the property of Ofero or its licensors and is protected by intellectual property laws. You may not use, reproduce, distribute, or create derivative works based on this content without explicit permission.
10. Prohibited Activities
You are prohibited from engaging in activities that:
- Violate any laws, regulations, or third-party rights.
- Interfere with the proper functioning of our Sites.
- Use automated systems to access our Sites without our express consent.
- Duplicate users or attempt fraud.
11. Disclaimer of Warranties
Our Sites are provided "as is," without any warranties of any kind. We make no representations or warranties regarding the accuracy, completeness, or reliability of the content.
We do not guarantee that the Sites will always be available, uninterrupted, secure, or error-free.
12. Limitation of Liability
Ofero and its affiliates will not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to your use of the Sites.
13. Governing Law
These Terms and Conditions are governed by the laws of Belize.
Users accessing our Sites from jurisdictions outside Belize are responsible for compliance with their local laws. We do not guarantee that our Sites or their content comply with laws outside Belize.
14. Changes to Terms and Conditions
We may update these Terms and Conditions from time to time. Any changes will be effective immediately upon posting. Your continued use of our Sites after the changes will constitute acceptance of the updated terms.

16. Termination and Suspension
We reserve the right to suspend or terminate your access to our Sites, at our sole discretion, without prior notice or liability, for any reason, including but not limited to breach of these Terms and Conditions or applicable laws.
In particular, accounts that we identify as fake, duplicated, automated, or otherwise abusing the platform may be deleted immediately and without any notification. Deleting an account removes the wallet data we hold for it. This is a further reason to back up your recovery phrase as described in section 8: with that phrase you keep access to your funds on the blockchain regardless of the state of your Ofero account.
